Phil is an experienced business law lawyer, whose practice focuses on corporate law, mergers and acquisitions and securities law.  Phil works with clients at all stages, from start-ups and family businesses to large cap public companies, providing clients with practical advice on a wide range of strategic transactions, including asset and share acquisitions, public and private financings and corporate reorganizations. He routinely assists clients in the negotiation and drafting of commercial agreements and provides clients with day-to-day legal advice.

Phil’s practice lends itself to a diverse array of industries, and he has previously worked with clients in the real estate, mining, health care, fintech and information technology sectors.

  • Acted for a national health care service provider in respect of more than 15 roll-up share and asset acquisitions across Canada
  • Acted for the purchaser of an Ontario agricultural mineral mining company by way of plan of arrangement
  • Acted for a Toronto based software developer in its acquisition by global ICT services provider

Corporate Finance

  • Acted for various early stage companies in respect of angel and VC investments and well as negotiating investments with strategic partners
  • Acted for both investment dealers and corporations in respect of brokered public and private financings 
  • Acted for both private and public REITs in raising capital through private placements, OM offerings and public prospectus offerings
