Commercial Deal Negotiation and Agreement Advice

Sale & Purchase Agreements

Resolving deal issues for value, and delivering robust agreements

Resolving deal issues for value, and delivering robust agreements

Successful execution, and delivering the intended value, depend on the agreed objectives and resolution of the issues all being effectively and robustly documented in the sale and purchase agreement ('SPA').

A key part of this is linking deal objectives and diligence issues to the contractual calculation of the price. For M&A transactions, and across a range of other transformational partnerships, it is rare for this price to be as simple as a single figure in the SPA (and even where this is the case, the approach raises a range of other risks to value which must be effectively addressed).

Our specialist team, comprising experienced deal negotiators, due diligence specialists, forensic accounting and dispute resolution experts, brings a strong blend of experience from structuring thousands of SPAs, from supporting clients through completion and execution of the deal, and from resolving complicated transaction and price disputes.

We deploy this knowledge with a simple aim: To drive better value deals for our clients and to deliver robust agreements that ensure the price paid is the price agreed. Our record speaks for itself: over 15 years, we have delivered in excess of $1 billion of negotiated additional value to our clients.

We work with a wide range of organisations, including large and small business and private equity investors, to help them drive value from better deals. To find out more, please contact Graham Armitage, Shelley Reader or Mark Rumble.
