KPMG's Legal Services team helps clients respond, effectively and profitably, to the challenges and opportunities that change presents, working shoulder-to-shoulder with them, passionately and with purpose, to deliver real results. Here are examples of our recent work: 

  • Brexit strategy and restructuring – We assisted a UK bank which passports into multiple jurisdictions with its response to the Brexit vote. We worked alongside consulting, regulatory, tax and pensions colleagues across the EU to develop a contingency plan and implemented elements of the plan in the run up to March 2019.
  • The road to exit – Working closely with our colleagues in tax and deal advisory, we guided our client through the process of reorganising their business interests to maximise the benefits of an exit and proceeded to support and advise them throughout the deal process, culminating in a successful sale to a European Private Equity fund. Our integrated approach delivered a closely synchronised reorganisation and complete exit for our client, with minimal disruption to the ongoing business.
  • Cross border group reorganisation – As part of a multidisciplinary team comprising international tax, accounting advisory as well as legal, we advised this FTSE listed client on a restructuring of their group designed to address issues affecting the parent’s ability to return profits to shareholders. Co-ordinating local legal counsel in the US, Europe and Asia; we successfully delivered the project on a “hands free” basis, leaving the client free to focus on running the business while ensuring they were appraised of issues as they arose and able to approve the steps needed to address and resolve them.
  • Gaining control through our Global Entity Management (GEM) services – We implemented our GEM Core Annual Service for a technology and engineering company across their global entities (covering over 25 jurisdictions). Through our outsource service we transformed their approach from a decentralised model to a consistent, centralised programme providing global oversight and increasing control on their compliance and entities. In addition, we established their entity management software, which provides a single course of corporate data to be used in wider projects and transactions, increasing efficiencies for internal working and releasing value time for their internal teams.
  • Undertaking a corporate health check project to ensure statutory compliance – We co-ordinated a corporate health check project for 18 UK entities on behalf of a client based outside of the UK. The client had an existing company secretarial provider who we worked alongside to deliver the project efficiently, ensuring that the client was kept up to date with progress at each step. The review of the corporate records highlighted to the client the remedial work required to bring their entities into good standing in accordance with UK law, which in turn gave the existing provider a better understanding of the requirements relating to maintenance of the corporate records. This ultimately allowed the client to have their entities maintained in a more comprehensive manner going forward. 
  • Reclaiming interest and VAT from HMRC – We conducted litigation in relation to a major VAT and interest reclaim for the green fees paid by non-members at not-for-profit golf clubs. The case went to the European Court of Justice and is the first example of a solicitor advocate conducted advocacy at the European Courts of Justice (ECJ). 
  • Using bespoke technology to provide a global immigration programme – We took over the global immigration programme of a pharmaceutical company from its relocation provider. Using our bespoke immigration technology service, our worldwide team of immigration specialists were able to provide our client with a central oversight of applications from all over the world. This uniform immigration process and policy significantly improved the experience of our client’s internationally-mobile workforce.
  • Outsourcing and redundancies – We helped an international logistics company restructure its global IT function through offshoring and outsourcing to different providers. This involved a complex internal reorganisation that resulted in redundancies. We worked closely with the client’s HR project team to identify commercial solutions which mitigated legal risks and achieved cost and time savings.
