Justin is a Director in KPMG’s US Accounting and Reporting Group with more than 10 years experience of providing audit and advisory services to SEC registered companies.
Justin has substantial experience in delivering high quality audits and advisory projects to SEC registered companies in the banking and manufacturing industries. Justin has extensive US GAAP and IFRS knowledge and is an expert in SEC and PCAOB regulations, including the Sarbanes Oxley Act.
Capital Markets Transactions
- Served as lead manager for the audit of SEC carve-out financial statements prepared in anticipation of the disposition of a significant subsidiary.
- Reviewed offering memorandums and comfort letters for various debt and equity issuances to ensure compliance with SEC and local regulations and comfort letter standards.
- Provided advisory services to clients issuing debt or equity instruments in the US, potential IPO transactions, mergers & acquisitions, etc.
PCAOB Audits of SEC Registered Companies
Performed PCAOB Appendix K reviews for large multi-national SEC registered financial institutions located throughout Europe. Ensured compliance of SEC filings and financial statements with SEC and local regulations. Assisted audit engagement teams in complying with PCAOB and local auditing standards.
Served as lead audit manager for large multi-national manufacturing and consumer goods companies. Led audit teams of over 30 individuals and ensured effective project management and adherence to strict project deadlines. Conducted technical research on complex US GAAP and IFRS accounting issues, including the allowance for loan losses, derivatives, impairment, income taxes, pensions, stockholders compensation, etc.
