Alex is a director in the Sale & Purchase Agreement (SPA) Advisory team and has 20 years of deals experience, advising private equity and corporate investors on both buy-side and sell-side engagements.

Alex has provided Financial Due Diligence, Vendor Due Diligence and Vendor Assistance across North America, Latin America, Europe and Asia. He has lived and worked in Mexico (5 years) and the Netherlands (7 years) as well as his native UK.

Alex currently focuses on SPA advice for locked box and completion account deals, prioritizing and evidencing issues for a range of audiences to win maximum value in SPA negotiation stages as well as identify areas of ambiguity and potential dispute.

Alex combines diligence and SPA negotiation experience to focus on both enterprise value and equity value; considering performance and commercial prospects of companies as well as advising clients on financial position, debt-like-items and normal levels of working capital.

SPA post-deal experience includes preparation and review of completion accounts and earn-out accounts. Alex assists in commercial negotiations and can provide objective assessment of the relative merits of potentially disputed items.

Disputes experience includes drafting dispute submissions on behalf of clients to independent experts and providing strategic and tactical advice to clients in respect of the independent expert process

Alex has excellent Spanish language skills and a working knowledge of Dutch & French languages.

He is also an experienced presenter, delivering training on SPAs and due diligence to clients, law firms, investment bankers and other M&A specialists.
