Buy-Side Transactions

KPMG's Buy-Side Transaction services help companies pursuing acquisitions assess their growth strategy and related financial, tax and operational risks. Our industry-based teams of experienced professionals understand the potential challenges and help clients evaluate the target's financial and tax position, business model, operational strategy, commercial markets and other critical success factors.   • Day 100 planning: Leverage our deep pre-deal knowledge of the business to identify where business improvement opportunities exist and develop functional Day 100 plans
  • Integration Playbook: Help clients develop leading-practice playbooks and toolkits for integrations; these manuals are highly tailored and can cover all or a portion of the process.
  • Merger Track: Leverage a database of over 500 global integrations to help clients benchmark their programs, evaluate success and identify specific areas for improvement

Separation Services

  • Separation program planning: Strive to minimize the impact to the remaining business by developing plans that are linked to the deal timetable to support the separation and prepare for deal close
  • Separation perimeter: Work with clients to develop a model that outlines the assets, people, operations, contracts and systems that are transferring with the carved-out business, as well as those that support the business but are not transferring
  • Transition Service Agreements (TSAs): Work with clients to develop and negotiate TSAs with terms to control pricing and limit extension clauses to allow quick and orderly exit
  • Separation cost models: Help clients build financial models to estimate the stand-alone run rate cost of the carved-out business, one-time separation costs, TSA charges and stranded costs
