Denise is a Partner at KPMG in Canada’s Greater Toronto Area (GTA) US M&A Tax practice. Denise has worked with the Canadian offices in Vancouver and Toronto and with the US member firm office in San Francisco. She primarily specializes in US and cross-border mergers and acquisitions tax.

Denise advises on the US tax aspects of domestic and cross-border acquisition and divestiture transactions, including taxable and tax-free acquisitions, structuring for public offerings, leveraged buy-outs, tax-free “spin-offs” or “demergers”, and internal corporate restructurings. Denise has worked on buy-side and sell-side due diligence projects, with a specialization in cross-border investments.

Denise has extensive experience in US and cross-border tax consulting, tax due diligence, tax provision under US GAAP and IFRS, and corporate and partnership tax returns. In addition, she works on inbound investment of US real property, infrastructure, clean energy assets, and intellectual property, state-owned and private investment into the US, debt restructuring for multi-national aerospace materials manufacturer, initial public offering and cross-border tax structuring of defense, machinery, software and internet companies.

Denise has worked with public and private multi-national clients in various industries, including information technology, software, hardware, aerospace and defense, real estate, mining, biotech, and retail. Denise’s clients include strategic, private equity, and pension plan clients.
