On January 1, 2023, the new contract law will come into effect and covers all types of contracts (C2C, B2C and B2B).

This new legislation deserves your special attention as it introduces a number of important changes:

  • Conflicting general terms and conditions are now excluded (knock-out theory).
  • Changed circumstances may oblige renegotiation.
  • Breaking off negotiations will be sanctioned more severely in case of error.
  • A contract can be unilaterally terminated if the debtor provides insufficient guarantees of performance.
  • Unilateral price reduction is introduced as a sanction.
  • Damages and liability clauses are further restricted.
